Buyer Agreement

UpBusiness is a trust-first B2B services discovery platform. The platform helps buyers:

• Discover partner companies
• Compare partner companies
• Evaluate companies using TrustScore, reviews, rankings, and AI systems
• Shortlist companies
• Contact partner companies
• Explore company profiles and portfolios

UpBusiness is strictly a discovery and visibility platform. UpBusiness does not participate in contracts between buyers and partner companies, negotiate commercial agreements, process payments between users, or guarantee project outcomes, service quality, partner company performance, buyer satisfaction, lead quality, or commercial success.

By using UpBusiness as a buyer, users represent and warrant that:

• Information submitted is accurate
• They will use the platform lawfully
• They will not misuse partner company information
• They possess authority to act on behalf of any represented organization where applicable
• They are legally capable of entering binding agreements

UpBusiness reserves the right to restrict accounts, suspend accounts, remove buyer access, or permanently ban users where misuse, fraud, spam, abuse, or policy violations are detected.

Buyers may browse companies publicly, create buyer accounts, save shortlists, contact partner companies, submit reviews, and access personalized features. Certain actions require login including contacting partner companies, submitting reviews, saving shortlists, and accessing dashboards and personalized recommendations.

Buyers are solely responsible for:

• Maintaining account confidentiality
• Protecting passwords and credentials
• Activities occurring under their account
• Updating inaccurate information

UpBusiness operates TrustScore systems, ranking systems, recommendation systems, AI systems, search systems, and matching systems. TrustScore and rankings may include verification signals, performance signals, review signals, profile quality signals, buyer engagement signals, internal moderation signals, and AI evaluation systems.

Buyers acknowledge and agree that TrustScore is informational only, rankings are dynamic, AI systems may contain inaccuracies, recommendations are not guarantees, search visibility may change continuously, and sponsorships may affect visibility ordering.

Only logged-in buyer accounts may submit reviews. Buyers submitting reviews represent and warrant that reviews reflect genuine experiences, are truthful and accurate, are not misleading, are not manipulated, do not violate third-party rights, and are submitted in good faith.

Buyers must not submit fake reviews, coordinate fake review activity, accept incentives for misleading reviews, harass partner companies, defame users, or manipulate ratings.

UpBusiness reserves full discretion to moderate, edit, or remove reviews, investigate suspicious activity, penalize review manipulation, restrict accounts, and permanently ban users. Buyers acknowledge that reviews may become publicly visible, may remain visible indefinitely where legally permitted, may influence rankings and TrustScore systems, and may be indexed publicly.

Buyers must use the platform responsibly. Buyers must not:

• Spam partner companies or harass users
• Misuse contact information
• Collect data for unlawful purposes
• Create fake inquiries or misrepresent project requirements
• Scrape platform data or use bots or crawlers
• Attempt unauthorized access
• Upload unlawful content or malicious software
• Manipulate platform systems

UpBusiness reserves full enforcement rights.

Partner company information may include company descriptions, reviews and ratings, TrustScore information, portfolio information, public contact information, AI-generated summaries, and rankings and recommendations.

Buyers acknowledge and agree that information may contain inaccuracies, AI-generated information may contain errors, reviews may contain opinions, and UpBusiness does not independently verify every statement made by partner companies or guarantee accuracy of all information.

UpBusiness may use artificial intelligence systems, machine learning systems, recommendation systems, automated moderation systems, behavioral analysis systems, automated ranking systems, and matching systems. AI-generated outputs may contain inaccuracies, produce incomplete information, produce incorrect recommendations, or produce technical inconsistencies.

UpBusiness does not guarantee accuracy, completeness, partner company compatibility, recommendation quality, commercial fit, or business outcomes from AI systems.

UpBusiness does not provide legal advice, financial advice, tax advice, hiring advice, compliance advice, investment advice, operational advice, or professional consulting advice.

Any information available on the platform — including reviews, rankings, TrustScore systems, analytics, AI outputs, insights, and recommendations — is provided strictly for informational purposes.

Buyers acknowledge and agree that UpBusiness does not participate in negotiations, contracts, or payments, does not supervise projects or guarantee deliverables, and is not responsible for project outcomes, commercial disputes, or fraud or misconduct by partner companies.

Buyers are solely responsible for:

• Conducting independent due diligence
• Evaluating partner companies independently
• Verifying claims and capabilities
• Reviewing contracts independently
• Protecting confidential information
• Evaluating commercial risks
• Making independent business decisions

Buyers should not rely solely on TrustScore, rankings, reviews, AI recommendations, profile information, or platform signals when making business decisions.

UpBusiness is not responsible for protecting confidential information voluntarily shared between users. Buyers are solely responsible for protecting contracts, pricing information, business information, project requirements, confidential files, and commercial information.

Buyer reviews and public interactions may appear publicly on UpBusiness, be indexed by search engines, appear in AI search systems, recommendation systems, and discovery systems.

UpBusiness cannot guarantee removal from search engine caches, AI systems, third-party archives, or historical indexing systems after public indexing has occurred.

Buyers must not:

• Submit fake or misleading reviews
• Purchase or sell fake reviews
• Harass partner companies or users
• Scrape platform data or use bots or crawlers
• Attempt unauthorized access
• Upload malicious software
• Create fake inquiries or abuse communication systems
• Manipulate rankings or review systems

UpBusiness reserves full enforcement rights.

UpBusiness reserves full discretion to restrict accounts, remove reviews, restrict features, remove access, suspend accounts, permanently ban users, or limit platform activity where fraud is detected, manipulation is suspected, platform abuse occurs, policies are violated, or integrity concerns arise.

Buyers must not scrape platform data, copy rankings, extract datasets, build competing databases, or use automated extraction systems. Unauthorized scraping may result in:

• Legal action
• Permanent bans
• Financial claims
• Injunctive relief

UpBusiness does not guarantee uninterrupted platform availability. The platform may experience maintenance periods, AWS outages, internet disruptions, technical failures, bugs, delays, security incidents, or recommendation inconsistencies. UpBusiness is not liable for losses arising from such interruptions.

Buyers agree to indemnify and hold harmless UpBusiness, its founders, employees, affiliates, contractors, and representatives against claims arising from buyer conduct, reviews submitted, uploaded content, fraudulent activity, platform misuse, policy violations, commercial engagements, and third-party claims.

Any dispute arising out of UpBusiness shall first be resolved through confidential arbitration under applicable Indian laws. Buyers agree to resolve disputes individually and waive class action rights, collective proceedings, and representative actions. Nothing prevents UpBusiness from seeking injunctive relief where necessary.

Buyers acknowledge that electronic acceptance is legally binding, checkbox acceptance constitutes valid consent, digital records may be used as evidence, and UpBusiness may store timestamps, IP addresses, and acceptance logs.

UpBusiness reserves the right to modify this Buyer Agreement at any time. Updated versions become effective upon publication. Continued use of the platform constitutes acceptance of revised agreements.

This Buyer Agreement constitutes the complete agreement between buyers and UpBusiness relating to platform usage. If any provision is deemed unenforceable, remaining provisions shall continue in full effect.
