Vendor Agreement

UpBusiness is a trust-first B2B services discovery platform. The platform helps businesses discover, compare, evaluate, shortlist, and contact partner companies using TrustScore, reviews, and AI systems.

UpBusiness is strictly a discovery and visibility platform. UpBusiness does not participate in contracts, negotiate transactions, process payments between users, or guarantee project outcomes, lead quality, conversions, client acquisition, revenue, or commercial success. Any engagement formed through the platform exists independently outside UpBusiness.

By using UpBusiness as a partner company, you represent and warrant that:

• You possess authority to bind the represented organization
• All information submitted is accurate and complete
• Your organization legally exists and operates lawfully
• You possess rights to all uploaded materials
• You will comply with applicable laws and platform policies
• You will not use the platform fraudulently or deceptively

UpBusiness reserves the right to reject listings, reject applications, request additional verification, suspend accounts, remove listings, or permanently ban organizations at its sole discretion.

Partner companies may be required to provide incorporation certificates, GST details, Aadhaar verification through DigiLocker, business proof documents, portfolio proof, service information, identity verification information, and additional verification information requested by UpBusiness.

Partner companies must not submit fake, manipulated, or misleading information or misrepresent business operations, services, or capabilities. Submission of false or misleading information may result in:

• Immediate termination and permanent bans
• Removal of rankings and premium visibility
• Legal action and reporting to relevant authorities

UpBusiness operates a proprietary TrustScore system that may include verification scores, performance scores, review signals, profile quality signals, buyer engagement signals, integrity signals, AI evaluation systems, and internal moderation systems.

TrustScore methodologies, scoring systems, weightages, and algorithms are proprietary and confidential. UpBusiness reserves the right to modify TrustScore systems, recalculate scores, and adjust visibility and rankings at any time without notice.

UpBusiness may display partner companies across visibility categories including Leadership Positions, Premium Verified Profiles, and Verified Profiles. Visibility and rankings may depend on TrustScore, sponsorship status, profile quality, buyer engagement, AI systems, platform activity, search relevance, and internal ranking methodologies.

• Rankings are dynamic and may change continuously
• Sponsored placements may impact visibility ordering
• Rankings, leads, and commercial success are not guaranteed

UpBusiness may reduce visibility or remove placements where fraud, integrity concerns, manipulation, policy violations, or platform risks arise.

Buyers may submit reviews that may affect rankings and TrustScore, may contain opinions, and may remain publicly visible indefinitely where legally permitted. Partner companies must not purchase fake reviews, submit self-reviews, manipulate ratings, coordinate fake review activity, or harass reviewers.

UpBusiness reserves full discretion to moderate, edit, remove, or investigate reviews, penalize review manipulation, and reduce rankings based on suspicious activity. All moderation decisions remain solely within UpBusiness discretion.

UpBusiness may use artificial intelligence, machine learning, recommendation systems, automated moderation, behavioral analysis, and automated ranking systems. AI-generated outputs may contain inaccuracies, incorrect recommendations, incomplete information, or technical inconsistencies.

UpBusiness may offer premium profiles, sponsored placements, featured visibility, analytics tools, and promotional opportunities. Partner companies acknowledge that:

• Premium services are subscription based and all purchases are non-refundable
• Pricing may change for future renewal periods
• Visibility, leads, and conversions are not guaranteed
• Rankings may continue fluctuating despite sponsorships

UpBusiness reserves the right to modify or remove sponsorship structures and premium features where fraud, manipulation, or policy violations are detected.

Partner companies represent and warrant that all uploaded content — including logos, images, videos, case studies, client references, and company descriptions — is accurate, lawful, does not infringe third-party rights, and is not misleading. Partner companies remain fully responsible for all uploaded content and portfolio claims.

If UpBusiness receives complaints relating to copyright infringement, unauthorized portfolio usage, false claims, misrepresentation, or defamation, UpBusiness may remove content, restrict visibility, suspend accounts, or permanently ban organizations without prior notice.

By uploading content, partner companies grant UpBusiness a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable, non-exclusive license to host, display, publish, copy, reproduce, index, reformat, and promote content, and to use it in AI systems, recommendation systems, analytics systems, marketing materials, investor materials, and social media promotions.

Partner company information may appear publicly on UpBusiness, be indexed by search engines, appear in AI search systems, recommendation systems, and marketing materials. UpBusiness cannot guarantee removal from search engine caches, AI systems, third-party archives, or historical indexing systems after public indexing has occurred.

• Submit fake or manipulated documents
• Misrepresent services or upload stolen portfolio work
• Manipulate or purchase fake reviews
• Spam buyers or harass users
• Scrape platform data or use bots or crawlers
• Attempt unauthorized access
• Create duplicate company profiles
• Upload unlawful content or malicious software

UpBusiness reserves full enforcement rights.

UpBusiness reserves full discretion to reject listings, remove profiles, restrict visibility, adjust rankings, remove reviews, remove sponsorships, restrict features, suspend accounts, or permanently ban organizations where fraud, manipulation, integrity concerns, policy violations, or platform risks arise. UpBusiness is not obligated to explain moderation decisions.

Partner companies acknowledge that UpBusiness does not control buyer conduct, guarantee buyer authenticity, participate in contracts or payments, or guarantee project outcomes. UpBusiness is not responsible for buyer misconduct. Any engagement between buyers and partner companies exists independently outside UpBusiness.

UpBusiness is not responsible for protecting confidential information voluntarily shared between users. Partner companies are solely responsible for protecting pricing information, contracts, files, commercial information, and all confidential business information.

Partner companies must not scrape platform data, copy rankings, extract datasets, build competing databases, or use automated extraction systems. Unauthorized scraping may result in legal action, permanent bans, financial claims, and injunctive relief.

Partner company accounts belong to the represented organization. If an employee managing the account leaves the organization, ownership remains with the company, the organization must assign a new representative, and UpBusiness may request proof of authority.

UpBusiness does not guarantee uninterrupted platform availability. The platform may experience maintenance periods, AWS outages, internet disruptions, technical failures, bugs, delays, security incidents, or recommendation inconsistencies. UpBusiness is not liable for losses arising from such interruptions.

Partner companies agree to indemnify and hold harmless UpBusiness, its founders, employees, affiliates, contractors, and representatives against claims arising from uploaded content, review disputes, misrepresentation, fraudulent activity, intellectual property violations, commercial engagements, platform misuse, policy violations, and third-party claims.

Any dispute arising out of UpBusiness shall first be resolved through confidential arbitration under applicable Indian laws. Partner companies agree to resolve disputes individually and waive class action rights, collective proceedings, and representative actions. Nothing prevents UpBusiness from seeking injunctive relief where necessary.

Partner companies acknowledge that electronic acceptance is legally binding, checkbox acceptance constitutes valid consent, digital records may be used as evidence, and UpBusiness may store timestamps, IP addresses, and acceptance logs.

UpBusiness reserves the right to modify this Vendor Agreement at any time. Updated versions become effective upon publication. Continued use of the platform constitutes acceptance of revised agreements.

This Vendor Agreement constitutes the complete agreement between partner companies and UpBusiness relating to platform usage. If any provision is deemed unenforceable, remaining provisions shall continue in full effect.
